Blissbook Terms of Use Agreement

Welcome to Blissbook.com. The following are the rules ("Terms") that govern use of the Blissbook.com Web site ("Site"). By using or visiting the Site, you expressly agree to be bound by these Terms and to follow these Terms and all applicable laws and regulations governing the Site, whether or not you are a registered user of Blisssbook. Blissbook.com ("Blissbook") reserves the right to change these Terms at any time, effective immediately upon posting on the Site.

1. Permitted Use

You agree that you are only authorized to visit, view, and retain a copy of pages of this Site for your own personal use, and that you shall not duplicate, download, publish, modify, or otherwise distribute the material on this Site for any commercial use, or for any purpose other than as described in these Terms.

2. Eligibility

This Site is intended solely for users who are thirteen (13) years of age or older. Any registration by, use of or access to the Site by anyone under 13, is unauthorized, unlicensed and in violation of these Terms of Use. By using the Site, you represent and warrant that you are 13 or older and that you agree to abide by all of the terms and conditions of this Agreement.

3. Changes to the Agreement

We reserve the right, at our sole discretion, to change, modify, add, or delete portions of these Terms of Use and the Site at any time without further notice. Any modifications will be effective upon Blissbook�s posting of the new terms and/or upon implementation of the new changes on the Site. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms of Use. Unless expressly stated otherwise by Blissbook, any new features, new services, enhancements or modifications to the Site implemented after your initial access shall be subject to these Terms of Use. If you do not agree to abide by these or any future Terms of Use, do not use or access (or continue to use or access) the Site. It is your responsibility to regularly check the Site to determine if there have been changes to these Terms of Use and to review such changes.

4. Registration

In order to use or access certain features of the Site, you may be required to register with Blissbook and to select a password and user name ("User ID"). If you register, you represent that you are of legal age to form a binding contract and are not a person barred from receiving services under the laws of the United States or other applicable jurisdiction. You also agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the Site�s registration form (the "Registration Data") and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or Blissbook has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Blissbook has the right to suspend or terminate your account and refuse any and all current or future use of the Site (or any portion thereof). You may not: (i) enter, select or use a false name or an email address owned or controlled by another person with the intent to impersonate that person, or, (ii) use as a User ID a name subject to any rights of a person other than yourself without appropriate authorization. Blissbook reserves the right to refuse registration of, or cancel a User ID in its discretion. You shall be responsible for maintaining the confidentiality of your password and are fully responsible for all activities that occur under your User ID and password. Any User ID and password provided to you for your access to the Blissbook Site shall be for your personal use only. You agree to (a) immediately notify Blissbook of any unauthorized use of your User ID or password, and (b) ensure that you exit from your account at the end of each session.

5. Community Disputes

You are solely responsible for your interactions with other Blissbook users. Blissbook reserves the right, but has no obligation, to monitor disputes between you and other users.

6. Copyright Policy

You may not post, modify, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information belonging to others without obtaining the prior written consent of the owner of such proprietary rights. It is the policy of Blissbook to terminate usage privileges of any user who repeatedly infringes the copyright rights of others upon receipt of proper notification to Blissbook by the copyright owner or the copyright owner's legal agent. Without limiting the foregoing, if you believe that your work has been copied and posted on the Site in a way that constitutes copyright infringement, please provide our Copyright Agent with the following information: (i) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; (ii) a description of the copyrighted work that you claim has been infringed; (iii) a description of where the material that you claim is infringing is located on the Site; (iv) your address, telephone number, and email address; (v) a written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; (vi) a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf. 7. User Content on Site

You are solely responsible for the photos, profiles, messages, notes, text, information, music, video, advertisements, listings, reviews and other content that you upload, publish or display (hereinafter, "post") on or through the Site, or transmit to or share with other users (collectively the "User Content"). You may not post, transmit, or share User Content on the Site that you did not create or that you do not have permission to post. You understand and agree that the Company may, but is not obligated to, review the Site and may delete or remove (without notice) any content or User Content in its sole discretion, for any reason or no reason, including without limitation User Content that in the sole judgment of the Company violates this Agreement or which might be offensive, illegal, or that might violate the rights, harm, or threaten the safety of users or others. You are solely responsible at your sole cost and expense for creating backup copies and replacing any User Content you post or store on the Site or provide to the Company.

Blissbook does not control the User Content posted by third parties on the Site, including the content of any messages or reviews, and does not guarantee the accuracy, integrity or quality of such User Content. You understand that by using the Site, you may be exposed to User Content that is offensive, indecent or objectionable. Under no circumstances will Blissbook be liable in any way for any content, including any errors or omissions in any content, or any loss or damage of any kind incurred as a result of your use of any content. You are responsible for complying with all laws applicable to the content you submit via the Blissbook Site. You agree that you must evaluate and bear all risks associated with the use of any content, including any reliance on the content, integrity, and accuracy of such content.

By posting User Content on the Site, you agree to and hereby do grant, and you represent and warrant that you have the right to grant, Blissbook, its contractors, and the users of the Site an irrevocable, perpetual, royalty-free, fully sublicensable, fully paid up, worldwide license to use, copy, publicly perform, digitally perform, publicly display, and distribute such User Content and to prepare derivative works of, or incorporate into other works, such User Content. This license is non-exclusive, except you agree that Blissbook shall have the exclusive right to practice this license to the extent of combining your User Content with the User Content of other Blissbook users for purposes of constructing or populating a searchable database of wedding ideas and business reviews. You may remove your User Content from the Site at any time. If you choose to remove your User Content, the license granted above will automatically expire, however you acknowledge that the Company may retain archived copies of your User Content.

8. Use Restrictions

You agree that you will not use any robot, spider, other automatic device, or manual process to monitor or copy our Web pages or the content contained thereon or for any other unauthorized purpose without our prior expressed written permission. You agree that you will not use any device, software, or routine to interfere or attempt to interfere with the proper working of the Site. You agree that you will not copy, reproduce, alter, modify, create derivative works from, or publicly display any content (except for your own personal, non-commercial use) from our Web site without the prior expressed written permission of Blissbook. Illegal and/or unauthorized uses of the Site, including, but not limited to, unauthorized framing of or linking to the Site or unauthorized use of any robot, spider, or other automated device on the Site, will be investigated and subject to appropriate legal action, including, without limitation, civil, criminal, and injunctive redress.

9. Third Party Websites and Content

The Site contains (or you may be sent through the Site) links to other web sites ("Third Party Sites") as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software and other content or items belonging to or originating from third parties (the "Third Party Content"). Such Third Party Sites and Third Party Content are not investigated, monitored or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third Party Sites accessed through the Site or any Third Party Content posted on, available through or installed from the Site, including without limitation the content, accuracy, offensiveness, opinions, reliability, privacy practices or other policies of or contained in the Third Party Sites or the Third Party Content. Inclusion of, linking to or permitting the use or installation of any Third Party Site or any Third Party Content does not imply approval or endorsement thereof by us. If you decide to leave the Site and access the Third Party Sites or to use or install any Third Party Content, you do so at your own risk and you should be aware that our terms and policies no longer govern. You should review the applicable terms and policies, including privacy and data gathering practices, of any site to which you navigate from the Site or relating to any applications you use or install from the site.

10. Term

These Terms of Use will remain in full force and effect while you use the Site. Either Party may terminate these Terms of Use for any reason, at any time. Sections 10-15 shall survive any termination or expiration of these Terms of Use.

11. Ownership

The Site (including, but not limited to, text, photographs, graphics, video and audio content) are protected by copyright as collective works or compilations under the copyright laws of the United States and other countries. All individual articles, content and other elements comprising the Site are also copyrighted works. Except for the content submitted by members or users, the Site and all aspects thereof, including all copyrights, trademarks, and other intellectual property or proprietary rights therein, is owned by Blissbook or its licensors. You acknowledge that the Site and any underlying technology or software used in connection with the Site contain Blissbook's proprietary information. You may not modify, reproduce, distribute, create derivative works of, publicly display or in any way exploit, any of the content, software, and/or materials available on the Site, in whole or in part except as expressly provided in Blissbook's policies and procedures made available via the Site. Except as expressly and unambiguously provided herein, Blissbook and its suppliers do not grant you any express or implied rights, and all rights in the Site not expressly granted by Blissbook to you are retained by Blissbook.

12. Privacy

13. Disclaimer

THE BLISSBOOK SITE IS PROVIDED BY BLISSBOOK ON AN "AS IS" BASIS. BLISSBOOK AND ITS LICENSORS AND AFFILIATES MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS, STATUTORY OR IMPLIED AS TO THE OPERATION OF THE BLISSBOOK SITE, BLISSBOOK SOFTWARE OR THE INFORMATION, CONTENT, MATERIALS, OR PRODUCTS INCLUDED ON, OR IN ASSOCIATION WITH THE BLISSBOOK SITE. TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, BLISSBOOK AND ITS LICENSORS AND AFFILIATES DISCLAIM ALL WARRANTIES, EXPRESS, STATUTORY, OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. BLISSBOOK AND ITS LICENSORS AND AFFILIATES FURTHER DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF THE INFORMATION, TEXT, GRAPHICS, LINKS OR OTHER ITEMS CONTAINED WITHIN THE BLISSBOOK SITE. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. BLISSBOOK IS NOT RESPONSIBLE FOR THE CONDUCT OF ANY USER OF THE BLISSBOOK SITE. BLISSBOOK DOES NOT WARRANT THAT THE BLISSSBOOK SITE WILL BE AVAILABLE AT ANY TIME OR FROM ANY PARTICULAR LOCATION, WILL BE SECURE OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE BLISSBOOK SITE IS FREE OF VIRUSES OR OTHER POTENTIALLY HARMFUL COMPONENTS. ANY MATERIAL OR CONTENT DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE BLISSBOOK SITE IS ACCESSED AT YOUR OWN RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATAS THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY ANY USER FROM BLISSBOOK OR THE BLISSBOOK SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.

14. Limitation on Liability

YOU EXPRESSLY UNDERSTAND AND AGREE THAT BLISSBOOK AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF BLISSBOOK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SERVICE; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (v) ANY OTHER MATTER RELATING TO THE SERVICE. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, BLISSBOOK�S MAXIMUM AGGREGATE LIABILITY TO YOU FOR ANY CAUSES WHATSOEVER, AND REGARDLESS OF THE FORM OF ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO BLISSBOOK IN THE 12 MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY.

15. Indemnity

You agree to indemnify and hold Blissbook, its subsidiaries, affiliates, officers, agents, and other partners and employees harmless from any loss, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Site, including your use of the Site to provide a link to another site or to upload content or other information to the Site.
